Scope

These terms govern the purchase and use of the Simplavo software of Seitenkick GmbH, Zurich. By purchasing a licence, you accept them.

Services

Simplavo is software that runs locally on your computer for contacts, customers, quotes and invoices. It is offered as a base licence that can be extended with individual modules.

Which features belong to the base licence and to which module is set out on the pricing page in its current version.

Try before you buy

Simplavo can be tried free of charge before purchase. Once the trial period has ended, you need a licence in order to continue working. The data you have recorded up to that point remains on your computer.

Licence and workstations

With your purchase you receive a simple, non-exclusive and non-transferable right to use Simplavo for the duration of the licence. All rights in the software and in the name "Simplavo" remain with Seitenkick GmbH.

The licence is tied to an account and applies to one active workstation at a time. Switching to another computer is possible; the previous device loses access in the process.

TODO: Decide whether multi-seat licences should be offered and add the corresponding provision here.

Term and renewal

Licences and modules are purchased for one year and renew for a further year unless cancelled before the end of the term.

Modules can be added and cancelled individually without affecting the base licence. If the base licence is terminated, the modules built on it end as well.

TODO: Define the notice period (suggestion: at any time up to the end of the current period) and align it with the renewal behaviour configured in Paddle.

Prices and payment

The prices stated on the pricing page in Swiss francs apply. The final price shown at the time of purchase, including any taxes, is decisive.

Payment is processed by Paddle.com Market Ltd., which acts as the seller. Their terms apply in addition to these terms for the payment itself.

We will notify you of price changes before the next renewal. If you do not agree with a change, you may cancel up to the end of the current period.

Refunds

Our refund policy governs withdrawal from a purchase and repayment. It forms part of these terms.

Updates and availability

Within a major version you receive updates at no additional cost. There is no entitlement to any particular new feature.

Because Simplavo runs locally, usability depends primarily on your computer. Individual operations – sign-in, purchase and licence validation – require an internet connection.

Your responsibility for data and backups

Simplavo stores your content exclusively on your local machine. This has a clear advantage – the data belongs to you – but also a consequence: there is no automatic backup on any server of Seitenkick GmbH.

If your computer is lost or breaks down, the data stored on it is gone. Backing up regularly is entirely your responsibility.

You are responsible for the factual accuracy of your invoices and quotes, and for complying with the accounting and tax rules that apply to you.

Warranty

We build Simplavo with care. To the extent permitted by law, we give no warranty that the software will be free of errors, will run without interruption, or will be fit for a particular purpose.

If a defect appears, we will endeavour to remedy it by means of an update.

Liability

Seitenkick GmbH is liable within the limits of applicable law. Liability for slight negligence, for indirect damages, consequential damages, loss of profit or loss of data is excluded to the extent permitted by law.

Changes

We may develop these terms and the scope of features further. We will inform you of material changes in the software or on this website.

Governing law and jurisdiction

Swiss law applies, to the exclusion of its conflict-of-laws rules and of the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction – to the extent permitted by law – is Zurich, Switzerland. Mandatory consumer protection provisions of your country of residence remain unaffected.
